End-User Licence Agreement

This End-User Licence Agreement (“Agreement”) governs access to and use of the software application, internal platform, integration, and related services provided by EMC Hire Limited (“we”, “us”, or “our”) that connect with QuickBooks and other business systems (the “Application”).

By accessing or using the Application, you agree to this Agreement. If you do not agree, you must not access or use the Application.

1. Purpose of the Application

The Application is used by EMC Hire Limited for internal business purposes, including connecting our internal systems with QuickBooks in order to access, process, synchronise, and manage accounting, financial, customer, supplier, invoice, payment, and related business data.

The Application is not offered as a public consumer application or marketplace product.

2. Licence

Subject to this Agreement, we grant authorised users a limited, non-exclusive, non-transferable, revocable licence to access and use the Application solely for legitimate internal business purposes.

You may not:

  • copy, modify, distribute, sell, lease, sublicense, or otherwise exploit the Application;

  • reverse engineer, decompile, or attempt to extract the source code of the Application;

  • use the Application for unlawful, fraudulent, or unauthorised purposes;

  • interfere with the security, integrity, or operation of the Application;

  • attempt to access data, systems, or accounts that you are not authorised to access.

3. Authorised Users

The Application may only be used by authorised personnel, contractors, or service providers who have been granted access by EMC Hire Limited.

You are responsible for keeping your login credentials secure and for all activity carried out through your account. You must notify us immediately if you believe your account has been compromised.

4. QuickBooks and Third-Party Services

The Application may connect with QuickBooks and other third-party services. Your use of QuickBooks is subject to Intuit’s own terms, policies, and requirements.

We are not responsible for the availability, performance, security, or operation of third-party services, including QuickBooks. We may update, suspend, or remove integrations where necessary for security, operational, legal, or compliance reasons.

5. Data Access and Use

The Application may access, receive, transmit, store, or process data from QuickBooks and other connected systems where required for internal business operations.

By using the Application, you acknowledge that data may be exchanged between the Application, QuickBooks, and our internal systems as necessary for the intended business purpose.

6. Ownership

The Application, including its software, design, workflows, configuration, documentation, and related intellectual property, is owned by EMC Hire Limited or its licensors.

No rights are granted to you except the limited right to use the Application as described in this Agreement.

7. Confidentiality

You may have access to confidential business, financial, customer, supplier, operational, or technical information through the Application. You must not disclose, misuse, copy, export, or share confidential information except where authorised and required for legitimate business purposes.

8. Security

You must use the Application securely and in accordance with any internal policies, access controls, and security procedures provided by EMC Hire Limited.

We may monitor, restrict, suspend, or revoke access where we believe there is a security risk, policy breach, unauthorised use, or legal requirement to do so.

9. Availability and Changes

The Application is provided for internal operational use. We may modify, update, suspend, or discontinue any part of the Application at any time.

We do not guarantee that the Application will always be available, uninterrupted, error-free, or compatible with every system or third-party service.

10. Disclaimer of Warranties

To the fullest extent permitted by law, the Application is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory.

We disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, and non-infringement.

11. Limitation of Liability

To the fullest extent permitted by law, EMC Hire Limited will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of revenue, loss of data, business interruption, or loss of goodwill arising from or related to use of the Application.

Nothing in this Agreement limits liability that cannot legally be limited, including liability for fraud, fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

12. Termination

We may suspend or terminate access to the Application at any time if:

  • you breach this Agreement;

  • access is no longer required for business purposes;

  • we believe access creates a security, operational, or legal risk;

  • we are required to do so by law, regulation, or a third-party service provider.

Upon termination, you must stop using the Application immediately.

13. Compliance with Laws

You must use the Application in accordance with all applicable laws, regulations, internal policies, and third-party service terms.

You must not use the Application to process unlawful, unauthorised, misleading, or fraudulent transactions or data.

14. Updates to this Agreement

We may update this Agreement from time to time. The updated version will be posted at this URL with a revised “Last updated” date.

Continued use of the Application after changes are made means you accept the updated Agreement.

15. Governing Law

This Agreement is governed by the laws of England and Wales, unless another jurisdiction is required by applicable law.

The courts of England and Wales will have exclusive jurisdiction over disputes arising from or related to this Agreement, except where applicable law requires otherwise.
